Terms of Service

By downloading, installing, or using FaceUp Studio (the "Service"), you agree to these Terms. If you don't agree, don't use the Service. These Terms together with our Privacy Policy, EULA, Subscription Terms, and Cookie Policy form the complete agreement between us.

1. Eligibility

You must be at least 13 years old (16 in the EU/EEA, or older where required by local law) to use FaceUp Studio. By using the Service you confirm you meet this requirement and have the legal capacity to enter into this agreement.

2. Your account

You are responsible for the security of your account and for any activity under it. Notify us immediately at support@faceup.studio if you believe your account has been compromised.

3. Subscriptions and payment

FaceUp Studio is sold as an auto-renewing subscription via the Apple App Store. Specific pricing, billing cycles, free-trial conditions, and cancellation procedures are described in our Subscription Terms, which form part of these Terms.

4. The content you upload

You keep all rights to the photos you upload. You grant us a limited, non-exclusive, royalty-free licence to process those photos for the sole purpose of generating the AI output you requested. Once the generation completes, the original upload is deleted from our servers.

We never use your photos to train AI models. We never sell or share your photos with third parties for marketing or advertising.

5. The content we generate for you

Subject to applicable law, you own the AI-generated outputs you create using the Service. You may use them for personal, non-commercial purposes freely. For commercial use (advertising, paid promotion, products for sale), you accept responsibility for ensuring the output complies with your local laws — particularly those concerning publicity rights, deceptive advertising, and image rights of any third parties depicted.

You may not represent AI-generated content as being a real photograph of a real person without their consent, where doing so would mislead, defraud, or harm them.

6. Acceptable use

You agree not to use FaceUp Studio to:

• generate content depicting any identifiable person without their consent;
• generate sexually explicit, violent, hateful, or harassing content;
• generate content involving minors in any sexualised, violent, or otherwise inappropriate context;
• generate content designed to deceive (deepfakes intended to defame, defraud, or impersonate);
• upload photos you don't have the right to use;
• circumvent technical restrictions, scrape the Service, or interfere with its operation;
• resell, sublicense, or commercially redistribute access to the Service.

We may suspend or terminate accounts that breach these rules, with or without notice depending on severity.

7. Intellectual property

FaceUp Studio, including its name, logo, mascot, app, source code, models, libraries, copy, design, and all related intellectual property, is owned by us or our licensors. Nothing in these Terms transfers any of those rights to you. You receive only the limited licence to use the Service described in our EULA.

8. Third-party services

The Service relies on third-party processors (Apple, Google Cloud, Firebase, RevenueCat, Replicate, AppsFlyer) listed in our Privacy Policy. Your use of those services is also subject to their own terms.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI outputs are imperfect by nature; we make no guarantee of accuracy, realism, suitability, or absence of artefacts.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for all claims arising from or related to the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD 100. We will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

Nothing in these Terms limits liability that cannot be limited by law (e.g. for gross negligence, wilful misconduct, or death/personal injury caused by negligence).

11. Indemnity

You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, your uploaded content, or your unauthorised use of any AI-generated output.

12. Termination

You may stop using the Service and cancel your subscription at any time via your Apple ID. We may suspend or terminate your access if you breach these Terms or for legal/regulatory reasons. On termination, sections 4, 5, 7, 9, 10, 11, and 13–16 survive.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material, we'll notify you in-app and by email at least 30 days before it takes effect. Your continued use after the effective date constitutes acceptance.

14. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Türkiye, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the Service will be resolved exclusively by the competent courts of Istanbul, Türkiye, except where mandatory consumer-protection law in your country of residence requires otherwise (in which case the consumer-protection laws of your country apply).

15. Apple-specific terms

You acknowledge that these Terms are between you and FaceUp Studio, not Apple. Apple has no obligation to provide maintenance or support for the Service. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation. Apple is a third-party beneficiary of these Terms and may enforce them against you.

16. Miscellaneous

• Entire agreement: These Terms, together with the documents referenced, are the entire agreement between us.
• Severability: If any clause is unenforceable, the rest remains in force.
• No waiver: Our failure to enforce a right is not a waiver of that right.
• Assignment: You may not assign these Terms; we may assign them to a successor.
